1. Agreement to Terms

By accessing or using the services of GSA Support Center, LLC ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

GSA Support Center, LLC provides GSA Schedule management, compliance support, and related consulting services to businesses holding or seeking GSA Schedule contracts. Our services include, but are not limited to:

  • GSA Schedule registration assistance
  • Contract compliance monitoring and support
  • Sales reporting and documentation
  • Contract modifications management
  • eCatalog management and updates
  • Business development support

3. Client Responsibilities

As a client of our services, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Respond to our requests for information in a timely manner
  • Maintain responsibility for your GSA Schedule contract
  • Comply with all applicable GSA regulations and requirements
  • Pay all fees according to the agreed-upon terms
  • Notify us promptly of any changes to your business that may affect your GSA Schedule

4. Fees and Payment

Fees for our services are as stated in your service agreement or package selection. Payment terms include:

  • Fees are due according to the payment schedule outlined in your agreement
  • Late payments may result in suspension of services
  • All fees are non-refundable unless otherwise specified in writing
  • We reserve the right to modify our fees with 30 days written notice

5. Limitation of Liability

GSA Support Center, LLC provides consulting and management support services. While we strive to deliver excellent service, we make no guarantees regarding:

  • GSA contract award or renewal
  • Specific business outcomes or sales results
  • Actions taken by the GSA or other government agencies

Our liability is limited to the amount of fees paid for our services in the twelve (12) months preceding any claim.

6. Confidentiality

We maintain strict confidentiality of all client information and documents. We will not disclose your confidential information to third parties except:

  • As required by law or government regulation
  • To GSA or other government agencies as necessary to perform our services
  • With your express written consent

7. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • All outstanding fees become immediately due
  • We will provide transition assistance as reasonably requested
  • We will return or destroy confidential information as directed
  • No refunds will be provided for fees already paid

8. Independent Contractor

GSA Support Center, LLC operates as an independent contractor. Nothing in these terms creates an employment, partnership, or agency relationship between the Company and the client.

9. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted or error-free.

10. Indemnification

You agree to indemnify and hold harmless GSA Support Center, LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Governing Law

These Terms of Service are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Pasco County, Florida.

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

13. Entire Agreement

These Terms of Service, along with any service agreement or statement of work, constitute the entire agreement between you and GSA Support Center, LLC regarding our services.
